Digital Resources Licence Agreement

This Licence Agreement (“Agreement”) outlines the terms and conditions for the use of digital resources purchased from Louise Sam Well-Being. By purchasing, downloading, or using any digital resources, including but not limited to journals, affirmation card templates, intake forms, and social media templates (collectively, “Resources”), you agree to comply with this Agreement.

1. Licence Types

1.1 Standard Licence

By purchasing a Standard Licence, you are granted the following rights:

  • Use the Resources for personal or business purposes.

  • Edit and customise the Resources for branding, text, colours, and other personal/business preferences.

  • Share non-editable versions of the finalised Resources (e.g., PDFs or image files) with clients as part of services or programmes.

Restrictions:

  • Cannot sell, redistribute, or share editable versions of the Resources (e.g., Canva links, PSDs, or other editable files).

  • Cannot use the Resources for mass production, merchandise, or resale to the general public.

1.2 Commercial Licence

By purchasing a Commercial Licence, you are granted the following rights:

  • Edit and customise the Resources for branding, text, colours, and other personal/business preferences.

  • Sell finalised products created from the Resources (e.g., affirmation card decks, journals, templates).

Restrictions:

  • Cannot sell, redistribute, or share the original editable files or templates as-is.

  • Attribution to the original creator is optional.

  • Limits may apply to prevent excessive mass production (e.g., you may not sell millions of copies under a single licence).

  • Cannot claim ownership of the original Resources.

2. Intellectual Property

  • All digital resources remain the intellectual property of Louise Sam Well-Being or the original creator.

  • Purchasing a licence grants a limited right to use the Resources, not ownership.

  • You may not remove copyright notices or watermarks unless explicitly allowed.

3. Prohibited Activities

Regardless of licence type, you may not:

  • Use the Resources in a way that violates copyright law.

  • Share editable files with clients, subscribers, or third parties outside the licence terms.

  • Claim authorship of the original Resources.

4. Termination of Licence

  • Your licence is automatically terminated if you breach any terms of this Agreement.

  • Upon termination, you must delete all copies of the Resources, including customised versions, and cease any use or distribution.

5. No Warranty

  • Resources are provided “as is” without any warranty.

  • Louise Sam Well-Being is not liable for any outcomes, damages, or losses arising from use of the Resources.

6. Governing Law

This Agreement is governed by the laws of Barbados.

By purchasing or using Resources from Louise Sam Well-Being, you acknowledge that you have read, understood, and agree to comply with these terms. Violations may result in legal action and licence termination.
